1. Acceptance of Terms
By accessing and using ActiveScribe ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.
2. Use License
ActiveScribe grants you a limited, non-exclusive, non-transferable license to use the Service for your professional healthcare documentation needs, subject to these Terms of Service.
3. User Obligations
You agree to use ActiveScribe in compliance with all applicable laws and regulations, including but not limited to PIPEDA, HIPAA (where applicable), and other healthcare privacy regulations. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Data and Privacy
ActiveScribe collects and processes data as described in our Privacy Policy. You retain all rights to your clinical data and patient information. We do not use your patient data to train AI models or for any purpose other than providing the Service to you.
5. Professional Use Only
ActiveScribe is intended for use by licensed healthcare professionals. The Service is a documentation tool and does not replace professional medical judgment. You are solely responsible for the accuracy and completeness of all clinical documentation.
6. Service Availability
While we strive to provide continuous service, ActiveScribe does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice.
7. Limitation of Liability
ActiveScribe is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.
8. Intellectual Property
All intellectual property rights in ActiveScribe, including software, algorithms, and documentation, remain the property of ActiveScribe. You may not copy, modify, or reverse engineer any part of the Service.
9. Termination
Either party may terminate this agreement at any time. Upon termination, you will cease all use of the Service. You may request export of your data within 30 days of termination.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Canada and the province of Ontario, without regard to conflict of law principles.
11. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.
